1. Introduction
These Affiliate Terms and Conditions (“Agreement”) govern your participation in the Ethiosuq.com Affiliate Program (“Program”). By submitting an application to join the Program, you (“Affiliate,” “you”) agree to be bound by the terms of this Agreement.
Ethiosuq.com (“we,” “us,” “our,” “Company”) reserves the right to update and change this Agreement from time to time without prior notice. Any modifications will be effective immediately upon posting on our website. Your continued participation in the Program after such changes constitutes your acceptance of the new terms.
2. Enrollment and Eligibility
To enroll in the Program, you must submit a complete application through our designated affiliate portal. We reserve the right to reject any application at our sole discretion for any reason. To be eligible to participate, you must be at least 18 years of age and have a valid bank account or mobile money account (e.g., Telebirr) in Ethiopia for commission payouts.
3. Promotion and Use of Links
You will be provided with a unique Affiliate Link to track referrals. You agree to use this link only as permitted. You are solely responsible for ensuring that your promotional activities comply with all applicable Ethiopian laws and regulations, including but not limited to the Commercial Code of Ethiopia and the Trade Competition and Consumer Protection Proclamation No. 813/2013.
You agree NOT to:
- Engage in any misleading, deceptive, or illegal advertising practices.
- Use spam, unsolicited email, or force-based advertising to promote your Affiliate Link.
- Bid on keywords or phrases containing our brand name (“Ethiosuq”) or variations thereof on any search engine without our prior written consent.
- Create websites or use marketing channels that are in any way offensive, discriminatory, or contain content that is sexually explicit, violent, or promotes illegal activities.
4. Commission and Qualified Purchase
4.1. Commission Rate: For each Qualified Purchase made by a customer you refer through your valid Affiliate Link, you will earn a commission equal to three percent (3%) of the total purchase amount (excluding taxes, shipping, and handling fees).
4.2. Qualified Purchase: A “Qualified Purchase” is defined as a completed transaction for a full-priced product or service that:
- Is made by a new customer who clicks through your valid Affiliate Link.
- Is completed online at https://ethiosuq.com.
- Is not cancelled, returned, or refunded.
- Is not for a product already in the customer’s cart before clicking your Affiliate Link.
- Is not for a product or service that is listed at a discounted, sale, or promotional price. Commissions are not earned on the sale of discounted items.
4.3. Tracking: Our system uses cookies to track referrals. A customer is considered “referred” if they make a purchase within 30 days of clicking your Affiliate Link. We are not responsible for tracking errors caused by customer browser settings, ad-blocking software, or third-party interference.
5. Commission Payments
5.1. Payment Schedule: Commissions will be paid on a rolling basis. Approved commissions for Qualifying Purchases will be paid out three (3) calendar days after the purchase date, provided no return or refund has been initiated.
5.2. Payment Method: All payments will be made in Ethiopian Birr (ETB) via bank transfer to your registered bank account or to your registered Telebirr account. You are responsible for ensuring your payment details are accurate and up-to-date.
5.3. Tax Withholding: Please be aware that under the new Income Tax Proclamation (Amendment) No. 1395/2025 in Ethiopia, income generated from affiliate marketing activities is now explicitly classified as taxable digital service income. As such, commissions paid to you may be subject to mandatory tax withholding at the source as required by Ethiopian law, and you are solely responsible for complying with your tax obligations and filing relevant returns. We reserve the right to deduct any legally required taxes from your commission payments.
5.4. Minimum Payout Threshold: You must have accrued at least ETB 500.00 in commission to request a payout. Commissions below this threshold will roll over to the next month until the minimum is met.
6. Order Fulfillment, Returns, and Refunds
We are responsible for all aspects of order processing and fulfillment. We will handle all customer service inquiries related to orders.
Commissions are earned only on sales that are not refunded or returned. If a customer returns a product or receives a refund for a transaction for which you earned a commission, the corresponding commission amount will be deducted from your future payouts. We may also charge back your account for any previously paid commissions that are later reversed due to a return or refund.
7. Relationship of Parties
This Agreement does not create any employment, partnership, joint venture, or agency relationship between you and Ethiosuq.com. You are an independent contractor and are responsible for your own expenses and taxes. You have no authority to bind us to any contract or agreement.
8. Limitation of Liability
To the maximum extent permitted by Ethiopian law, Ethiosuq.com will not be liable for any indirect, special, or consequential damages arising in connection with this Agreement, even if we have been advised of the possibility of such damages. Our total liability arising under this Agreement shall not exceed the total commissions paid or payable to you in the six months preceding the claim.
9. Termination
Either party may terminate this Agreement at any time, with or without cause, by providing the other party with written notice of termination (email is acceptable). Upon termination:
- Your right to use your Affiliate Link and to earn commissions will immediately cease.
- You must remove all links to our website from your website or marketing materials.
- You will be paid any accrued commissions earned prior to the termination date, subject to the payment terms in Section 5.
10. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the Federal Democratic Republic of Ethiopia. Any dispute arising out of or relating to this Agreement shall first be attempted to be resolved through good-faith negotiations. If the dispute cannot be resolved within 30 days, it shall be submitted to the exclusive jurisdiction of the courts of Addis Ababa, Ethiopia.
11. Miscellaneous
- Force Majeure: Neither party will be liable for delays or failures in performance resulting from causes beyond its reasonable control.
- Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
- Waiver: Our failure to enforce any right or provision of this Agreement will not be considered a waiver of such right or provision.
- Entire Agreement: This Agreement constitutes the entire agreement between you and Ethiosuq.com regarding the Affiliate Program and supersedes all prior agreements and understandings.
